Terms and Conditions of Service

1. Acceptance of Terms

By accessing, registering for, or using the Udini Platform—whether as an individual uploading content ("Uploader") or an individual viewing content ("Viewer")—you (the "User") agree to be legally bound by these Terms and Conditions (the "Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree with these Terms, you are strictly prohibited from using the Platform.

2. Description of Service & Security Measures

Udini provides a secure, proprietary content-sharing environment utilizing Digital Rights Management (DRM) and advanced artificial intelligence technologies.

2.1 Security Features

The Platform is designed to prevent unauthorized distribution of uploaded presentations (PDF, PowerPoint). Features include, but are not limited to:

• Disabling screen captures, screenshots, and screen-sharing functionalities.
• Time-limited viewing windows, after which the content is permanently inaccessible to the Viewer.
• Active Biometric & Environment Monitoring: Utilization of the Viewer's web camera, coupled with AI technology, which is designed to assist in detecting unauthorized recording devices (e.g., mobile phones, secondary cameras) during the viewing session.

2.2 Technological Limitations

While RevX ApS implements industry-leading security measures, no system is entirely impenetrable. RevX ApS does not guarantee absolute protection against all forms of data capture (e.g., the "analog hole" or highly sophisticated circumvention tools) and explicitly disclaims liability for unauthorized content duplication resulting from such circumvention.

3. User Roles and Obligations

3.1 Uploaders

• Ownership and Rights: Uploaders warrant that they hold all necessary intellectual property rights, licenses, and permissions to upload, encrypt, and share the content via the Platform.
• Prohibited Content: Uploaders shall not upload content that is illegal, defamatory, infringes on third-party IP rights, contains malware, or violates any EU or Danish laws.
• Liability: Uploaders accept full liability for the content they distribute and agree to indemnify RevX ApS against any claims arising from said content.

3.2 Viewers

• Hardware Consent: Viewers acknowledge that accessing secured content requires granting Udini access to their device's web camera and microphone.
• Strict Prohibition of Circumvention: Viewers shall not attempt to screenshot, record, screen-share, or use external devices to capture the content. Detection of such attempts will result in immediate termination of the viewing session and potential permanent banning from the Platform. RevX ApS reserves the right to notify the Uploader of the security breach.

4. Privacy, GDPR Compliance, and AI Processing

RevX ApS complies with its obligations as a Data Processor under the General Data Protection Regulation (GDPR) (EU) 2016/679 and applicable Danish data protection laws.

• Active Monitoring Consent: By accessing an Udini secure link, Viewers provide explicit, informed consent for the Platform's AI to process live video feeds from their web camera.
• Data Minimization & Storage: The AI processing is conducted in real-time strictly for the purpose of detecting recording devices. Video feeds are not recorded, stored on our servers, or shared with third parties. Once the session ends, the transient data is instantly destroyed.
• Uploader Data: Content uploaded to the Platform is encrypted at rest and in transit. RevX ApS does not claim ownership of uploaded files and acts solely as a Data Processor on behalf of the Uploader (the Data Controller).

5. Enterprise Standards: Accessibility and Security

Web Accessibility: RevX ApS uses commercially reasonable efforts to align the Platform with the Web Content Accessibility Guidelines (WCAG) 2.1 AA standards, to ensure the Platform is reasonably accessible to users with disabilities, subject to the inherent technical limitations required by our DRM and active-camera security features.

Security Standards: RevX ApS employs commercially reasonable, industry-standard administrative, technical, and physical safeguards designed to protect User data.

6. Intellectual Property Rights

The Platform: All rights, title, and interest in and to the Udini Platform, including its software, AI algorithms, DRM architecture, UI/UX, and branding, are the exclusive property of RevX ApS.

User Content and Limited Functional License: You, the Uploader, retain 100% ownership, title, and all intellectual property rights to any content (presentations, photos, text, etc.) you upload to the Platform. RevX ApS claims absolutely no ownership or intellectual property rights over your material.

To provide our secure DRM services, we require your permission to process your files. By uploading content, you grant RevX ApS a limited, non-exclusive, revocable, and strictly functional worldwide license to:

• Host and store your content on secure servers.
• Process and convert your uploaded files into encrypted streaming video formats.
• Apply Digital Rights Management (DRM) technology to restrict unauthorized viewing, screen-sharing, and downloading.
• Transmit and display the encrypted content to the specific Viewers you authorize.

Strict Limitations on Our Use: This license is granted solely for the mechanical operation of the Udini Platform. We guarantee that RevX ApS will never:

• Sell, license, or monetize your content.
• Use your content for marketing or promotional purposes without explicit written consent.
• Use your uploaded content to train any Artificial Intelligence or machine learning models.

Right to Revoke: You may delete your content from the Platform at any time. Upon deletion, this limited functional license is immediately terminated, and your content will be permanently removed from our active servers.

7. Disclaimer of Warranties

The Platform and all associated services are provided on an "as is" and "as available" basis. RevX ApS expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. RevX ApS does not warrant that the security measures will be 100% immune to circumvention or that the AI monitoring will operate without error in all lighting or hardware conditions.

8. Limitation of Liability

To the maximum extent permitted by applicable European and Danish law, in no event shall RevX ApS, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with:

• Unauthorized access to or alteration of your transmissions or content.
• The circumvention of Udini's DRM or security features by malicious actors.
• Any bugs, viruses, or interruptions in the service.

In no event shall RevX ApS's total liability to any User for all damages exceed the amount paid by the User to RevX ApS for the use of the Platform during the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless RevX ApS, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Platform.
• Your violation of any of these Terms.
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right.

10. Modifications to Terms

RevX ApS reserves the right, at our sole discretion, to modify or replace these Terms at any time. Material changes will be communicated via email or through a prominent notice on the Platform. Continued use of the Platform following such modifications constitutes acceptance of the revised Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms, including disputes concerning its existence or validity, shall be submitted to the exclusive jurisdiction of the competent courts of Copenhagen, Denmark.
